  Nevada Amendments of Articles

There are times when a business needs to change the information included in the Articles of Incorporation or Articles of Organization. To do this, you need to file an amendment with the Nevada Secretary of State. Some reasons a business may need to file an amendment are to change the company's name, to expand or alter the company's business purpose, or to change the number of authorized shares or par value (for corporations only).

What is a certificate of amendment?
A certificate of amendment is a document filed with the Secretary of State to enact a specific change to the information included in your company's Articles of Incorporation or Articles of Organization. Nevada allows certain information, such as officer or Resident Agent information, to be updated by the corporation's or LLC's annual list of officers, recognizing that this information can frequently change. However, for the majority of the information included in the formation documents, a certificate of amendment must be filed with the state in order to make a change.
