Foreign For Profit Corporation Name

The legal or assumed name of the corporation must contain the word �Corporation,� �Company,�
�Incorporated,� or �Limited� or an abbreviation of these words.
An original Certificate of Compliance (sometimes referred to as a Certificate of Good
Standing or Existence) issued by the corporation's state or country of domicile, is required to
be filed with the application. The original certificate must be no older than 60 days.
The application must be signed by the President or Vice President and by the Secretary or
Assistant Secretary.

the following information

Requires the exact legal name of the corporation, as shown on the Certificate of
Good Standing or Certificate of Compliance.

If the legal name in item 1 is not available in Alaska, another name may be
selected.

Requires the name of state or country in which the corporation is incorporated.

Requires the date of incorporation in the state of domicile and the period of
duration. (The period of duration is the life expectancy of the corporation as
indicated in the Articles of Incorporation. If the state of domicile does not require a
period of duration, indicate perpetual.)

Requires the mailing address of the principal administrative offices of the
corporation.

Requires the name and address of the proposed registered agent. The registered
agent may be either an individual resident of Alaska, whose business office is
identical with the registered office, or a domestic or foreign corporation authorized
to transact business in Alaska, which has a business office identical with the
registered office.

Describe the business to be transacted in Alaska and state the SIC Code(s) which
most closely describe the activities the corporation will engage in. (See SIC Code
listing attached.)

Requires the names and addresses of the corporation�s officers and directors. A
list may be attached to the application.

Requires the name and address of each alien affiliate and a description of the
relationship between the corporation and alien affiliate. If the alien affiliate is a
shareholder, indicate the percentage of shares controlled. (See attached definition
of "alien" and "affiliate.")

Requires the number of authorized shares, class, series, and par value.

Requires the number of issued shares, class, series, and par value.

Requires the name, address, and percentage of shares owned by any person
owning five percent or more of the shares or five percent of any class of shares.
