Alaska Foreign LLC
Foreign LLC Name
-
The name must contain the words “limited liability company,” or the
abbreviation LLC. The name may not contain the words “city” or “borough,”
or otherwise imply that the company is a municipality. The name must be
distinguishable from trade names on record with the Division of Banking,
Securities, and Corporations.
All foreign limited liability companies must be registered with the Division
of Banking, Securities and Corporations before transacting business in the
State of Alaska.
A foreign limited liability company that fails to register may not maintain
an action, suit, or proceeding in a court of this state. The Division of
Banking, Securities and Corporations may bring an action to restrain a
foreign limited liability company from doing business in Alaska if the
LLC fails to register with the state.
An original Certificate of Compliance (sometimes referred to as a Certificate
of good Standing or Existence) issued by the LLC’s state of domicile or country
of origin is required to be filed with the application. The original certificate
must have been issued within 60 days of the date of the application.
- Application for registration containing
the following information
- The name of the limited liability company.

The name the limited liability company elects to use if the
legal name of the LLC is not available in Alaska.

The name of the state or country where the limited liability company was organized.

The date that the LLC was organized and the period of duration. If no period
of duration was set out in the LLC’s articles of organization, state “perpetual.”

The address of the administrative offices in the state or country
where the LLC was formed.

The address of the principal business offices of the LLC.

The name, mailing address, and physical address (if different from
the mailing address) of the LLC’s registered agent. The agent must be
an individual or a corporation authorized to transact business in this state.

A statement appointing the Commissioner of Community and Economic Development
as default agent.

The purpose of the LLC proposes to pursue in the transaction of business
in Alaska, and a list of the standard industrial classification (S.I.C.)
codes that best describe its activities. (See S.I.C. code list attached.)

The names and addresses of the managers of the LLC, or if the
LLC is not managed by a manager, the names and addresses of the members of the LLC.

The name, address, and percentage of interest held in the LLC by each person
owning 5% or more of the interest in the LLC.
- Filling Fees

The filing fee for submitting an application for registration is
$350.00 ($150.00 filing fee plus a biennial license fee of $200.00).
