Alaska Foreign Limited Partnership
Foreign Limited Partnership Name

The name of the limited partnership. A limited partnership name must contain
without abbreviation the words "limited partnership". The limited partnership
name can only contain the name of a limited partner if it is also the name of
a general partner, it is also the corporate name of the corporate general
partner, or the business was already using that name before the person became
a limited partner.
All foreign limited partnerships must be registered with the Division of Banking, Securities and
Corporations before transacting business in the State of Alaska.
A foreign limited partnership which fails to register may not maintain an action, suit, or proceeding
in a court of this state. The Division of Banking, Securities and Corporations may bring an action
to restrain a foreign limited partnership from doing business in Alaska if the partnership fails to
register with the state.
The application for registration of a foreign limited partnership must contain the signature of at least
one of the general partners named in the application. A person may sign by an attorney-in-fact by
including the form appointing the attorney as such.

Application for Registration as a Foreign Limited partnership containing
the following information
- The name of the foreign limited
partnership and, if different, the name under which it desires
to transact business in this state.

The state where the limited partnership was formed and the complete date when the limited
partnership was formed.

The name and address of an initial registered agent in Alaska for the limited partnership. If
the mailing address is a post office box, a physical location must also be included.

A statement that the Commissioner of the Department of Commerce and Economic
Development is appointed the agent for service of process in the event that the foreign
limited partnership=s agent for service cannot be located in this state.

The principal business office address of the limited partnership.

The names and business addresses of each general partner.

The address of the office where a list of the limited partners and their contributions is kept
together with an undertaking that the limited partnership will keep those records until such
time as the registration in Alaska is cancelled or withdrawn.

The fe for filing an APPLICATION FOR REGISTRATION OF A FOREIGN LIMITED
PARTNERSHIP is$150.00.
