    Non Profit Corporation Name
     
    • The name of the corporation must include a corporate suffix such as Corporation, Corp., Incorporated, Inc., Company, or Co.
    Three or more natural persons at least 19 years of age may act as incorporators of a nonprofit corporation by signing, verifying (by notary public), and delivering an original and an exact copy of Articles of Incorporation together with a check or money order payable to the State of Alaska in the amount of $50.00. The submitted documents must be in dark, legible print and on paper which is no larger than 8 by 11 inches. Computer print must be high resolution, laser print quality, suitable for microfilming. The articles should contain a statement that they are being filed under the provisions of the Alaska Nonprofit Corporation Act (AS 10.20).

    Submit two original copies of the Articles of Incorporation. Both copies must have original signatures. One copy will be returned for your records. Documents should be submitted in dark, legible print. In addition, the Nonprofit Classification Code(s) (NPSIC) which most closely describes the business activities of the corporation must be stated. The NPSIC may be determined from the attached Nonprofit Classification Code listing.

     
    • Articles of Incorporation containing the following information
      • The corporate name may not contain a word or phrase, which indicates or implies that it is organized for a purpose other than one or more of the purposes contained in its Articles of Incorporation.
      • The period of duration may be a specific number of years or perpetual.
      • In general terms, state the specific purpose for which the corporation is organized.
      • Provisions, not inconsistent with law, must be set out for the regulation of the internal affairs of the corporation, including provision for distribution of assets on dissolution or final liquidation.
      • A post office box is not permitted to be designated as the address of the registered office in part 1 of Article V. The mailing address in part 2 of Article V may differ from the address of the registered office only if a post office box address in the same city as the registered office is designated as the mailing address.
      • The number of directors of a corporation shall be at least three. The number of directors shall be fixed by the Bylaws, except that the number constituting the initial board of directors shall be fixed by the Articles of Incorporation. Directors need not be residents of the State or members of the corporation unless the Articles of Incorporation or the Bylaws so require. The Articles of Incorporation or the Bylaws may prescribe other qualifications for directors. The names and addresses of the members of the first board of directors must be stated in the Articles of Incorporation. Each member holds office until the first annual election of directors or for the period specified in the Articles of Incorporation. If no term of office is specified, a director’s term is one year.
      • Three or more natural persons at least 19 years of age may act as incorporator.

      • The filing fee for nonprofit Articles of Incorporation is $50.00.
