Colorado Foreign Limited Partnership
Foreign Limited Partnership Name

The entity name of a Limited Partnership shall contain the term “limited partnership”, “limited”, or “company” or the
abbreviation “L.P.”, “Ltd.”, or “co.”, pursuant to § 7-90-601(3)(e)(I), C.R.S.
Document must be typed or machine printed.
Causing a document to be delivered to the secretary of state for filing shall constitute the affirmation or
acknowledgment of each individual causing such delivery, under penalties of perjury, that the document is the
individual’s act and deed or the act and deed of the entity on whose behalf the individual is causing the document
to be delivered for filing and that the facts stated in the document are true.

The name of the foreign limited partnership

The name under which it proposes to register and transact business in Colorado (if the limited
partnership name is not available)

The jurisdiction of its formation

The date of its formation

The name, and the business address, of the registered agent for service of process on the
limited partnership

The Secretary of State of Colorado is appointed the registered agent of the above-named limited
partnership on whom any process notice, or demand may be served if no agent has been appointed in
paragraph five (5), or if appointed, the agent's authority has been revoked or if the agent cannot be found
or served with the exercise of reasonable diligence.

The address of the office required to be maintained in the jurisdiction of its organization by the laws of
that jurisdiction, or, if not so required, of the principal office of the foreign limited partnership

The name and the business, residence, or mailing address of each general partner

The (a) name or names, and (b) mailing address or addresses, of any one or more of the individuals
who cause this document to be delivered for filing, and to whom the Secretary of State may deliver notice
if filing of this document is refused
