A limited liability company is created by filing Articles of Organization
(click here to view sample Articles of Organization) with the Secretary of State.
While an Operating Agreement is only required before a conversion (see Iowa Code
section 490A.304(8)), it is common for a limited liability company have an Operating
Agreement from the outset of transacting business. An Operating Agreement is similar
to a corporation's bylaws and typically contains provisions for the management
of the company, the election of its managers, and the allocation of profits and
losses among its members.
