The name of the limited partnership must end with the words “limited
partnership” or their abbreviation “L.P.”,
“LP”. (The word “limited” may be abbreviated as “Ltd.”)
In order to enjoy the rights, privileges and juridical status of a Louisiana partnership,
and in order to own immovable property in this state or to have the limited liability
of any partners of a limited partnership recognized, a foreign partnership must file
a statement and affidavit of Registration with the Secretary of State.
This form can also be used to amend a foreign partnership’s filing in this state, if
the information contained in an original filing changes or was inaccurate when made.
Until an (amended) registration form is filed, changes and amendments are not
effective as to third persons.
