The corporation may assume any name indicating it is incorporated.
The name may not be the same as the name or trade name of a Massachusetts
corporation, foreign corporation, firm, association, person carrying on
business in Massachusetts, name under reservation, nor so similar as to
be mistaken for that other name, unless given the written consent of
existing corporation, firm, association, or person.

Corporations are legal entities created by compliance with statutory
procedures for the purpose of engaging in business activities for the
profit of their shareholders. A corporation's legal existence begins
when its articles of organization are filed with the Secretary of the
Commonwealth (M.G.L. Chapter 156B, s.6). Form articles of organization

The purposes for which the corporation is formed

The total number of shares and the par value, if any, of each class of stock
which the corporation is authorized to issue

If more than one class of stock is authorized, a distinguishing designation
for each class and prior to the issuance of any shares of a class if shares of
any other class are outstanding a description of the preferences, voting powers,
qualifications and special or relative rights or privileges of that class and of
each other class of which shares are outstanding, and of each series then
established within any class

That the incorporators, stating their name and post office address, associate
themselves with the intention of forming a corporation

The articles may also contain the following information:
- any restrictions imposed upon the transfers of shares of stock of any class
- any other lawful provisions for the conduct and regulation of the business and
affairs of the corporation, for its voluntary dissolution, or for limiting,
defining or regulating the powers of the corporation, or of its directors or
stockholders, or any class of stockholders
- the effective date of organization of the corporation which shall be the
date of filing with the Secretary of the Commonwealth or a later specified date
not more than 30 days after the date of filing
