Foreign Non Profit Corporation Name

The corporation may assume any name indicating it is incorporated.
The name may not be the same as the name or trade name of a Massachusetts
corporation, foreign corporation, firm, association, person carrying on
business in Massachusetts, name under reservation, nor so similar as to
be mistaken for that other name, unless given the written consent of
existing corporation, firm, association, or person.
All businesses incorporated in states other than the Commonwealth which are
doing business in Massachusetts must register with the Secretary of the
Commonwealth within ten days after they commence doing business in the state by
filing a foreign registration certificate. Failure to register may result in the
imposition of fines and/or an injunction restraining the further prosecution of
business in the Commonwealth by the foreign corporation.
The foreign registration certificate must be accompanied by a certificate of
legal existence from the jurisdiction of organization. It must be signed under
penalties of perjury by its president, or vice president and its clerk or
assistant clerk or secretary or assistant secretary.
