New York Foreign For Profit Corporation
For Profit Corporation Name

The name must contain the word "Corporation," "Incorporated,"
"Limited," or an abbreviation thereof. The name may not be the
same as, or so similar or confusing to, that of any domestic or
authorized foreign corporation or reserved name. The name may not
contain any word or phrase indicating the corporation is formed for
any purpose other than the purpose for which the corporation may be
and is formed. The use of certain enumerated words and abbreviations
including banking, insurance, and various professions is prohibited
or restricted.
A foreign business corporation may apply for authority to do business in the
State of New York by filing an Application for Authority pursuant to Section
1304 of the Business Corporation Law. For your information and convenience,
the Department of State has prepared a booklet entitled "Filing an Application
for Authority in New York State." The booklet includes answers to commonly
asked questions, names and addresses of other government agencies that a
corporation may need to contact, instructions for completing the Application
for Authority, tax information, and fee information. The booklet has been
designed to make the filing of the Application for Authority as easy as possible.
Attached to the Application for Authority must be a Certificate of Existence
from the official who files and maintains corporate records in the jurisdiction
of the corporation. (Please Note: This official is generally the Secretary of
State, and many jurisdictions refer to the Certificate of Existence as a
Certificate of Good Standing.)
- APPLICATION FOR AUTHORITY containing
the following information
- The name of the
corporation.

If the name does not contain a required word or abbreviation indicating corporate character, the
corporation agrees to add the word or abbreviation to the end of its name for use in
this state.

The jurisdiction in which the corporation was organized.

The date of its incorporation.

This corporation is formed to engage in any lawful act or activity for which a
corporation may be organized under the Business Corporation Law, provided that it is not formed
to engage in any act or activity requiring the consent or approval of any state official, department,
board, agency or other body without such consent or approval first being obtained.

The county within this state in which the office of the corporation is to be located.

The secretary of state is designated as agent of the corporation upon whom process
against the corporation may be served. The address to which the secretary of state shall mail a copy
of any process accepted on behalf of the corporation.

optional): The name and street address within this state of the registered agent upon
whom process against the corporation may be served.
- Filling Fees

The completed Application for Authority and statutory filing fee of $225,
made payable to the Department of State, should be forwarded to the
Department of State, Division of Corporations, 41 State Street, Albany,
NY 12231.
