Foreign LLC Name

For a Limited Liability Company, company names must contain the words
"Limited Liability Company", or the abbreviations "L.L.C.", "LLC". Section
204 of the Limited Liability Company Law should be reviewed for a list of
prohibited words or phrases. The name cannot be the same as or deceptively
similar to the corporate name of a domestic corporation or a foreign
qualified corporation.
A foreign limited liability company may apply for authority to do business in
the State of New York by filing an Application for Authority pursuant to Section
802 of the Limited Liability Company Law. Attached to the Application for
Authority must be a Certificate of Existence from the official who files and
maintains limited liability company records in the jurisdiction of the limited
liability company. (Please Note: This official is generally the Secretary of
State, and many jurisdictions refer to the Certificate of Existence as a
Certificate of Good Standing.)
A foreign professional service limited liability company may apply for authority
to do business in the State of New York by filing an Application for Authority
pursuant to Section 1306 of the Limited Liability Company Law. Attached to the
Application for Authority must be a Certificate of Existence from the official
who files and maintains limited liability company records in the jurisdiction
of the limited liability company. (Please Note: This official is generally the
Secretary of State, and many jurisdictions refer to the Certificate of Existence
as a Certificate of Good Standing.)

The professional service limited liability company is authorized to practice such
profession(s) in the jurisdiction of its formation.

The city, incorporated village or town and the county within this state in which its office
is to be located.

The Secretary of State is designated as agent of the professional service limited liability
company upon whom process against it may be served. The address within or without this state to
which the Secretary of State shall mail a copy of any process served against him or her.

The completed application, together with the filing fee of $250, should
be forwarded to the NYS Department of State, Division of Corporations,
