New York Foreign Limited Liability Partnership
A foreign limited liability partnership may register as a New York registered
foreign limited liability partnership by filing a Notice of Registration pursuant
to Section 121-1502(a) of the Partnership Law. The Notice of Registration must
be accompanied by a copy of the last registration or renewal registration (or
similar filing), if any, filed by the foreign limited liability partnership
in the jurisdiction where it is registered as a limited liability partnership
or a certificate, issued by the jurisdiction where it registered as a limited
liability partnership.
- Notice of Registration
containing
the following information

The name under which the registered foreign limited liability partnership shall carry on or conduct
or transact business or activities in New York State.

The jurisdiction in which the foreign limited liability partnership is registered.

The date on which the foreign limited
liability partnership was registered in its jurisdiction.

The address of the principal office of the foreign limited liability partnership.
-
The profession or professions to be practiced by such foreign limited liability partnership.

The Secretary of State is designated as agent of the foreign limited liability partnership upon
whom process against it may be served. The address to which the Secretary of State shall forward copies
of any process against it or served upon it.

The registration of the foreign limited liability partnership is effective in the jurisdiction in which
it registered at the time of filing this notice.
- Filling Fees

The completed Notice of Registration, together with the filing fee of
$250, should be forwarded to the NYS Department of State, Division of
Corporations, 41 State Street, Albany, NY 12231.
