LLC Name

For a Limited Liability Company, company names must contain the words
"Limited Liability Company", or the abbreviations "L.L.C.", "LLC". Section
204 of the Limited Liability Company Law should be reviewed for a list of
prohibited words or phrases. The name cannot be the same as or deceptively
similar to the corporate name of a domestic corporation or a foreign
qualified corporation.
A limited liability company may be formed by filing Articles of Organization
pursuant to Section 203 of the Limited Liability Company Law. The Department
of State has prepared a booklet entitled "Forming a Limited Liability Company
in New York State" that has been designed to make the filing as easy as possible.
The booklet includes instructions for completing Articles of Organization,
answers to commonly asked questions, referrals to other government agencies,
tax information, and fee information.
A professional service limited liability company may be formed by filing Articles
of Organization pursuant to Section 1203 of the Limited Liability Company Law.
A Certificate of Good Standing from the appropriate Appellate Division or a
Certificate of Authority (Form PLS709) under seal from the New York State
Department of Education, Division of Professional Licensing Services,
Corporations Unit, 89 Washington Avenue, 2nd Floor, Albany, NY 12234,
must be submitted with this certificate.

The name of the limited liability company.

This corporation is formed to engage in any lawful act or activity for which a
corporation may be organized under the Business Corporation Law, provided that it is not
formed to engage in any act or activity requiring the consent or approval of any state official,
department, board, agency or other body without such consent or approval first being obtained.

The county within this state in which the office of the limited liability company is to
be located.

The Secretary of State is designated as agent of the limited liability company upon
whom process against it may be served. The address within or without this state to which the
Secretary of State shall mail a copy of any process against the limited liability company served upon
him or her.

This form was prepared by the New York State Department of State for filing articles of organization for a
domestic limited liability company. It does not contain all optional provisions under the law. You are not required to use
this form. You may draft your own form or use forms available at legal stationery stores. The Department of State
recommends that legal documents be prepared under the guidance of an attorney. The certificate must be submitted with
a $200 filing fee made payable to the Department of State.

The completed Articles of Organization, together with the filing fee
of $200, should be forwarded to the NYS Department of State, Division of
Corporations, 41 State Street, Albany, NY 12231.
