New York Partnerships
New York Limited Liability Partnership
A partnership, without limited partners, each of whose partners is a
professional authorized by law to render a professional service, may register
as a limited liability partnership with the New York State Department of State
by filing a Certificate of Registration pursuant to Section 121-1500(a) of the
Partnership Law. "Profession" includes any practice as an attorney and
counselor-at-law, or as a licensed physician, and those occupations
designated in Title Eight of the Education Law.
- CERTIFICATE OF REGISTRATION containing
the following information

The name of the registered limited liability partnership.

The address of the principal office of the partnership without limited partners.

The profession or professions to be practiced by such partnership without limited partners.

The partnership is eligible to register as a registered limited liability partnership pursuant to Section 121-
1500(a) of the Partnership Law.

The Secretary of State is designated as agent of the partnership without limited partners upon
whom process against it may be served. The address to which the Secretary of State shall forward copies
of any process against it or served upon it.

The partnership without limited partners is filing this registration for status as a registered limited
liability partnership.

This form was prepared by the New York State Department of State for filing a certificate of registration for a domestic
registered limited liability partnership. This form does not contain all optional provisions under the law. You are not required to use
this form. You may draft your own form or use forms available at legal stationery stores. The Department of State recommends that
legal documents be prepared under the guidance of an attorney. The certificate must be submitted with a $200 filing fee made payable
to the Department of State.
- Filling Fees

The completed Certificate of Registration, together with the filing fee of
$200, should be forwarded to the NYS Department of State, Division of
Corporations, 41 State Street, Albany, NY 12231.

The fee for a certified copy is $10.
