New York Limited Partnership

Section 121-102 of the Revised Limited Partnership Act includes provisions
relating to the use of certain words and phrases in the name of the limited
partnership. For example, the name of the limited partnership must contain
the words "Limited Partnership" or the abbreviation "L.P." In addition,
certain words and phrases also require the consent or approval from another
agency prior to filing the document with the Division of Corporations.
If there is any doubt as to what, if any, consents or approvals may be
required, the Division of Corporations or the agency in question should
be contacted prior to submitting the document for filing to the Division
of Corporations.
A limited partnership may be formed by the general partners by executing a
partnership agreement (See ž121-110 of the Revised Limited Partnership Act.)
and filing a Certificate of Limited Partnership pursuant to Section 121-201
of the Revised Limited Partnership Act.

the following information

The name of the limited partnership.

The county within this state in which the office of the limited
partnership is to be located.

The Secretary of State is designated as agent of the limited partnership upon whom process
against it may be served. The address to which the Secretary of State shall forward copies of process
accepted on behalf of the limited partnership.

The name and business or residence street address of each general partner.

The latest date on which the limited partnership is to dissolve.

This form was prepared by the New York State Department of State for filing a certificate of limited partnership for a
domestic limited partnership. It does not contain all optional provisions under the law. You are not required to use this form. You
may draft your own form or use forms available at legal stationery stores. The Department of State recommends that legal documents
be prepared under the guidance of an attorney. The certificate must be signed by all general partners. This certificate must be
accompanied by a fee of $200.

The completed Certificate of Limited Partnership, together with the filing
fee of $200, should be forwarded to the NYS Department of State, Division
of Corporations, 41 State Street, Albany, NY 12231.
