    Foreign Profit Corporation Name
     
    • The name shall contain the word "Company," "Corporation," "Incorporated," or the abbreviation "Co.," "Corp.," or "Inc." The name must be distinguishable from the name of another domestic or foreign corporation authorized to do business in the state, or from any trade name. The name shall not contain language implying it is connected with a government agency of the United States.
    Any person, singly or jointly with others, and without re-gard to residence, domicile, or state of incorporation may form a corporation [R.C. 1701.04(A), 1702.04(A)]. A "person" includes any corporation, partnership, unincorporated society or association and two or more persons having a joint or common interest [R.C. 1701.01(G), 1702.01(J)].
     
    • CERTIFICATE containing the following information
      • The name of the corporation.
      • The name of the state under the laws of which it was incorporated
      • The location and complete address of its principal office
      • The name of the county and the municipal corporation or township in which its principal office within this state, if any, is to be located.
      • The appointment of a designated agent and the complete address of such agent
      • The irrevocable consent of such corporation to service of process on such agent so long as the authority of such agent continues and to service of process upon the secretary of state in the events provided for I section 1703.19 of the ORC.
      • A brief summary of the corporate purposes to be exercised within this state.
