TA foreign limited partnership may register with the secretary of state under any name (whether or not it is the name
under which it is registered in its state of organization) that includes either (a) without abbreviation the words ïlimited
partnership or (b) the letters and punctuation ïL.P.”, and that could be registered by a domestic limited partnership.
The name of the limited partnership cannot be the same as, or deceptively similar to, the name of any entity, name
reservation or registration on file with the Corporations Division. Availability of the partnershipís name should be
checked prior to submission of the Application for Certificate of Registration by calling the above telephone number.
This is only a preliminary clearance and it is suggested that you do not make any financial expenditures or execute
documents utilizing the name based upon this preliminary clearance. The final determination as to availability of the
name will be made when the documents are submitted for filing.
In order to procure a Certificate of Registration to transact business in this state, a foreign limited partnership shall
make application therefor by filing, in duplicate original, an Application for Certificate of Registration (Form No. 350),
with the Office of the Secretary of State, Corporations Division, at the above address.

exercise of reasonable diligence, the foreign limited partnership appoints the Secretary of State of the State of Rhode
Island as its agent for service of process.
