• The name of the limited partnership MUST contain either the words LIMITED PARTNERSHIP or the abbreviations LP or L.P.

This application must be accompanied by an original certificate of existence not more than 30 days old (or a record of similar import) authenticated by the Secretary of State or other official having custody of the Limited Liability Company records in the state or country under which it is organized.

File two copies of these articles, the original and either a duplicate original or a conformed copy.

This application must be signed by all general partners and accompanied by the filing fee of $10.00 payable to the ïSECRETARY OF STATE.”
 
• CERTIFICATE OF LIMITED PARTNERSHIP containing the following information
  • The name of the proposed limited partnership
  • The address of the office of the registered agent of the limited partnership
  • The name of the registered agent at the above address
  • The address of the principal office
  • The name and mailing address of each general partner of the limited partnership
  • The latest date upon which the limited partnership is to dissolve
  • The optional provisions which the limited partnership wishes to include
  • The existence of the limited partnership shall begin as of the filing date with the Secretary of State unless a delayed date is indicated (See 33-1-230(b) of the 1976 South Carolina Code of Laws, as amended)
