Texas Non Profit Corporation
Non Profit Corporation Name
-
Unlike a business corporation, it is not necessary for a non-profit corporation to use one of the
corporate endings (Corporation, Company, or Incorporated).
A non-profit corporation is created by filing articles of incorporation with the secretary of state in accordance
with the Texas Non-Profit Corporation Act (TNPCA), articles 1396-3.02 and 1396-3.03. "Non-profit
corporation" means a corporation no part of the income of which is distributable to members, directors, or
officers.
Two copies of the signed articles of incorporation should be submitted to the secretary of state for filing. The
filing fee for a non-profit corporation is $25.00.
If the articles conform to law, the secretary of state will stamp the documents "filed", issue a certificate of
incorporation and return the certificate and a stamped copy of the articles to the remitter, if a duplicate copy of
the document was provided for such purpose. The certificate of incorporation is conclusive evidence of
corporate existence.
