California registered agents must have a real street address!

No more PO BOXES.

Here are the details from the new law.

• All domestic (California) stock and nonprofit corporations and all foreign (out of state or country) corporations must provide a street address when designating an individual as agent for service of process. A post office box address no longer is acceptable.

• All domestic (California) stock and foreign (out of state or country) corporations must provide their mailing address on the Statement of Information, if the mailing address is different from the street address of the corporation’s principal executive office.

• All domestic (California) nonprofit corporations must provide their mailing address on the Statement of Information, if the mailing address is different from the street address of the corporation’s principal office in California or if the corporation has no principal office address in this state.
These changes eliminate the difficulty customers have experienced when attempting to serve personally an agent of a corporation at a post office box address while still allowing a corporation to include a separate post office box address for mailing purposes: Documents filed on or after January 1, 2008, must meet the statutory filing requirements of the new law.

New Statement of Information forms will be posted to the Secretary of State’s website at http://www.sos.ca.gov/business/bpd_forms.htm as of January 1, 2008. New forms may not be filed prior to January 1, 2008 and old forms cannot be accepted after December 31, 2007.

When you do business in California you are required to file State, local, and district sales and use tax return. It is actually a form (couple of pages) you will receive in mail before your return is due.

I hate FedEx

I sent a lot of packages each month by FedEx Ground. FedEx very often damages some of the packages. It almost look like someone is kicking packages around or maybe even stepping on them.

Here is what really pisses me off. FedEx very often declines any claim for damage. They put different reasons, for example not adequate packaging. But here is how the process works.

Merchandise is damaged (small damage, where one replacement part could be sent).
Client files FedEx claim
FedEx comes and pick up the package from client for inspection.
FedEx declines the claim for not adequate packaging, but doesn’t return the package to client.
FedEx sends the package back to us (sender) and completely damages the whole content during the return shipping. The outer box is already damaged. FedEx opens, inspects and doesn’t pack the content well. We end up with completely destroyed shipment and further financial loss.

Instead of small damage. We get completely destroyed goods. We could send a replacement part to customer, but now we have to send everything.

Wyoming Proposed Legislation

The State of Wyoming is about to introduce one of the more interesting bills. The Secretary of State has proposed HB 25 as a solution to Federal concerns regarding the use of business entities. The bill would, if passed, require the registered agent for service of process to maintain a list of Officers and Directors of Domestic For-Profit Corporations until the first periodic report is filed with the Secretary of State’s office. The bill further proposes that the registered agent for service of process maintain a list, updated within 60 days of a change, of all members and managers of a Domestic Limited Liability Company. In Wyoming, because a Domestic Limited Liability Company is not required to disclose this information, the registered agent for service of process must maintain the information regarding members and managers indefinitely.

Upon request from the Secretary of State, this beneficial ownership information must then be produced. “The Secretary of State may release any such confidential information only pursuant to court ordered subpoena or to a bona fide law enforcement agency for use in a criminal investigation.”

The release of the information by the Secretary of State to a law enforcement agency does not seem to require a subpoena.
